    Acquisition of TK Telekom by Netia from PKP

    Saski Partners advised Netia SA on its PLN 221 million acquisition of 100% of the operator TK Telekom Sp. z o.o. from Polish state railway PKP.

    Saski Partners was tasked with supporting the buyer on the co-ordination and execution of due diligence for TK Telekom, along with a team from Netia and the company’s legal, tax and accounting advisers. Saski Partners also prepared a valuation, drew up financial forecasts based on expected synergies and advised Netia on its negotiating strategy.

    In May 2015 Netia signed an agreement to acquire TK Telekom, and in July the transaction was finalised after receiving approval from Poland’s competition regulator UOKiK. The purchase helped Netia, one of Poland’s largest and fastest-growing telecoms operators, to significantly increase its fibre-optic capacity thanks to TK Telekom’s 7,500-km backbone network.
